摘 要

自从新三板于2006年1月23日成立，随之新三板挂牌企业范围逐步扩大至全国，尤其是高新科技园区，中小企业为了发展纷纷认同，作为中小企业融资的新渠道，和中国多框架结构的资本市场的体系建设不和或缺的结构，建立新三板交易机制是加强我国多层次的资本市场机制，是建设我国场外交易市场的改革。

成立新三板挂牌机制能够给予我国的潜力性企业、非上市公司、高新科技企业一个股权融资与交易的综合服务平台。新三板挂牌对企业来说是一把双刃剑。由于是最近才出现的新气象，其本身不可避免的存在这漏洞和缺陷，尤其是财务监管方面的问题。怎么才能才新三板中成功挂牌？本文针对新三板的财务监管方面的研究，包括内部外部体系相关的管理制度，对外信息公布等问题做进一步研究，并提出相关的可能的解决办法，继续壮大中小企业在新三板中起到的中流砥柱的作用。

ABSTRACT

Since the new three board was established on January 23,2006,with the new three board listed enterprise scope gradually expand to the whole country,particularly the high and new science and technology park,small and medium-sized enterprises to develop their identity,as a new financing channels,small and medium-sized enterprises more frame structure of the capital market in China and discord or lack of the structure of the system construction,establish a new three board trading mechanism is to strengthen our country multi-level capital market mechanism,the construction of the reform of the over-the-counter market in our country.

Set up the new three board listing mechanism can give the potential of enterprises in our country,private companies,a high and new technology enterprise equity financing and trade of integrated services platform.New three board listed for enterprise is a double-edged sword.Because it is only recently appeared in the new atmosphere,its itself inevitably exist the loopholes and defects,especially the problem of financial regulation.How can I successfully to new three board?In this paper,in view of the financial regulatory research new three board,including internal external system related management system,the problem such as external information released to do further research,and put forward relevant possible solution,continue to grow small and medium-sized enterprises in the new three board plays the role of mainstay.

1.1研究背景及意义

"中关村科技园区非上市股份有限公司代办股份报价转让系统”即人们所了解的新三板，于2006年1月23日宣布成立。多数股票上市公司是科技型企业具有很大的潜力，与原来的传输系统内的企业和原STAQ，挂牌公司的退市制度有很大的不同，所以著名。与之前的老三板不同，人们把它与之前的区分，故该系统被形象的称为"新三板”。

经济全球化发展带动资本市场的壮大，一个较为完善的资本市场系统是由主板、创业板与中小板占多数而组成，可是反观我国，作为一个正处于发展中的国家，我国目前的发展趋势正是由中小板块和主板与创业板块的相互结合构成的。场外挂牌企业是一个资本主义国家发展的重要标志，它们往往是一个国家的中坚力量，我国却恰恰相反。
