摘 要

我国改革开放三十多年以来,社会经济飞速地发展。但是仍然存在很多的问题，就以上市公司为例，我国的上市公司的股权结构安排得较不合理。一个企业的股权结构是企业运行当中最为基础最为根本的问题。股权结构之所以这么重要，就是因为其体现了股东对企业的投票权结构和剩余索取权结构，而且，股东根据其投资比例在企业控制中所决定的权利来分配格局也能体现出来。而权利的分配格局，对决定企业公司的治理结构，以及对企业的最终经营业绩产生了重大的影响。因此如果找出了我国上市公司股权结构的缺陷和不足，那么对解决国有企业股权改革，提高企业价值就具有非常重要的意义。

本文的基本写作思路是围绕我国的农林上市公司的股权结构与企业价值展开。分别讨论不同的股权分布情况和股权持有者情况与企业价值之间的关系，从而寻找出我国上市公司股权结构的缺陷和不足。最后，本文根据我国农林上市公司股权结构的缺陷，并结合中国的基本国情和政策倾向，就如何完善上市公司的股权结构提出了相关的建议。并且提出了本文研究的不足之处。

ABSTRACT

Since more than thirty years of China’s reform and opening- up , the social economy has developed rapidly. But there are still some problems.Take listing Corporation as an example, the arrangement of the ownership structure of the listing Corporation is unreasonable. The ownership structure is the most basic problem in the enterprise operation.The ownership structure is so important because it reflects the structure of the voting rights and the structure of the residual claim for the enterprise.

Moreover , the shareholders in proportion to their investment in the enterprise control rights to the distribution pattern can be reflected. And the distribution pattern of the rights, to decision of the corporate governance structure , and the final business performance of the enterprise produce a significant impact. So if we find out the defects and deficiencies of the ownership structure of the listed companies in our country , then it has very important significance to solve the ownership reform of state-owned enterprises and improve the enterprise value .

The basic writing idea of this paper is the ownership structure and the enterprise value of agriculture and forestry listing Corporation around our country.Discuss the relationship between the different equity distribution and the equity holders' situation and the enterprise value , in order to find out the defects and shortcomings of the structure of the listing Corporation of our country. At the end of this paper, according to the Chinese listed companies ownership structure defects, combined with China’s basic national conditions and the tendency of policy on how to improve the ownership structure of listed companies and puts forward related suggestions. And put forward the research deficiency.

1.1研究的背景和意义

曾经我看到过一部电影，名称叫《社交网络》，这部电影表面上讲述的是知识产权、商业道德以及情感伦理等方面的问题，事实上讲述的是一个更为深刻的问题，那就是公司的股权结构、公司的治理以及其对企业价值的作用和影响。一个上市公司中的股权结构和企业价值之间的关系问题一直都是理论界和实务界关注讨论的重中之重。公司的股权结构决定了公司控制权和所有权的分配，公司的治理结构最为根本的就是其股权结构。公司要想提高自己的企业价值，就必须要有一个合理的股权结构，也就是说合理的股权结构是提高企业价值的前提条件。而农林上市公司的股权结构更为接近成熟资本市场的特点，以他们做为实例来讨论对我国公司的股权结构与企业价值进行研究则具有非常重要的现实指导意义。

股权结构包括多个不同的出资者，每一位出资者的性质决定了公司股权结构的特征。在国外，通常情况下将股权划分成公众持股和内部人持股。在国内，有多种划分方法，按照是否流通划分为流通股和非流通股。而如果根据所有权的多元化来划分的话，不相同的所有制股权的构成主要包括了三种股东的持股比例，它们分别是社会公众股股东、国家股股东以及法人股股东。公司的股权结构之所以那么的重要，就是因为股权结构不仅体现出了公司的股东们对企业的投票权以及剩余索取权的拥有，而且还表现在股东们会根据其投资的比例在企业控制中所得到的权利来分配和掌握格局。不同的人拥有着不同的约束机制和激励机制，因而也拥有着不同的表现行为，从而影响了公司的企业价值。

股权集中度，即每个出资者所持有公司股分的比例，是指所有的股东凭借着自己在公司持股比例的不同而表现出来的股权集中或者股权分散的指标。股权集中度是衡量一个公司股权分布状况的重要指标，同时也是衡量一个公司稳定性的重要指标。股权的集中度通常情况下是用第一大股东的股本比例以及前三大股东的持股比例作为度量单位的，通过分析第一大股东和前三大股东的持股比例来研究与公司企业价值的关系。
